One of my friends runs a very good business (with business name A in ottawa, some big pocket business man came to him discussing whether he can franchise my friend's business at other side of the city.

- what kind of legal procedure my friend must follow?
- what forms of franchise fee can be collected?
- in terms of enlarge business scale? What are the pros and cons between franchising and create other branches or site by owner himself?

个人经验，仅供参考：
1、管理并不是很难。
2、关键是相关责任和义务的条款的构成要严谨，以避免日后的法律纠纷。
3、不同的行业和产品操作起来也有比较大的不同。

Legal这个business就是copy paste. 如果能找到哪个律师做过这个的，就一点都不难。 没做过，问题多而且比较贵。
