<HTML>Audiencel: All Nortel Networks Employees (bulletin to 81072 recipients)

Jan 12,2001

To: All Employees

Late yesterday we reaffirmed our strategy and commitment to the high-growth areas of our customers' businesses, while announcing that will be eliminating approximately 4,000 regular, full-tim positions in the near term across the company.
The ongoing alignment of our ork force and product portfolio will further fuel our high-growth engines of Optical, Local and Wireless Internet, and eBusiness. It will also enable us to further our position as the leader in delivering highperformance Internet solutions. Most importantly, it will enable us to meet the existing and emerging needs of customers.
As we continue the focus on the high-growth areas of our business, we'll be eliminating position in organizations and those business initiatives that aren't in line with our strategic direction and the long-term profitable growth of the company. In addition, we will be addressing opportunities to align our workforce with shifts in our customers' needs and transitions from older to newer technologies across our product portfolios.
I know these streamlining efforts will be diffcult for those employees who are impacted. We will try minimize these impacts by offering the affected employees appropriate termination arrangements, which may include serverance and outplacement services.
We expect to continue hiring to address our high growth markets in 2001 and expect the size of our work force, including our joint ventures, to remain at about 94,500 regular, full-time employees.
Part of our respondsibility in fueling our growth businesses is to ensure increasing customer loyalty, returns on customer relationships, speed and agility - all of which are vital in the markets in which we compete. The commitment of you and your teams to those principles will help ensure our continued global leadership going forward.
