股东只有股东大会的投票权和分红的权利. 只有公司有关的管理人员才有帐户的管理权.

如果一开始哥哥能操作公司银行帐户, 一般都应该有书面的东西和意外情况处理条理, 比如股东决议之类. 85%股东是可以开管理人员, 但应该有个程序.
如果没有程序那不乱套了. 不说他们85%,15%情况, 如果A是51%, B是49%, 如果没程序,A这星期偷偷摸摸把公司的90%钱以各种名义(供应商,软件服务等等)打给A的相关人员, B就只有干瞪眼等公司破产的份?
如果不是上市公司, 法律上对程序,章程之类的书面文件没有严格的要求,只要你安章纳税就可以了. 至于偷转钱的问题,就是涉嫌贪污,如有证据B可提起诉讼. 这就是合伙做生意的风险, 所谓的Joint Venture.

根据《大中报》获得的法庭文件，49岁的赵平波申请法庭颁令对加国无忧资产进行清算，分配或处理，或令其43岁的弟弟赵平原购买他在加国无忧公司中享有的产业和利润。赵平波的这一法律行动表明加国无忧股东之间的内部间隙不断升级。
It seems that an internal feud between two brothers, 49-year-old Pingbo Zhao and 43- year-old Pingyuan Zhao who are also co-owners of 51.ca has been escalating, as Pingbo applies for a court order to wind up or dispose of the company, or to sell his shares of assets and profits in the company to his brother, according to court documents obtained by Chinese News.

Pingyuan filed a Notice of Appearance indicating he intended to respond to the application. However, no responding document had been available in court file by press time.

The site attracted significant traffic and the information contained on the site was used by many major newspapers, including the Toronto Star and Ming Pao.

According to the affidavit, Pingyuan turned down Pingbo’s request to pay for his wife’s work for 51.ca; Pingbo didn’t get to collect the rent of the office that was set up at his home; Pingyuan kept all Google advertising income to himself, despite an agreement requiring all advertising sales go through Pingbo.

Despite the objection of Pingbo as a shareholder, Pingyuan launched a newspaper using the company’s funds and resources, the affidavit claims.
